Avistar Communications Announces Receipt of Notice From Nasdaq - Zibb.com
SAN MATEO, Calif., Nov 28, 2008 /PRNewswire-FirstCall via COMTEX/ --
Avistar Communications Corporation (Nasdaq: AVSR), a provider of unified visual communications solutions, today announced that on November 21, 2008 it received a notice from The Nasdaq Stock Market indicating that Avistar does not currently comply with the continued listing requirements set forth in Marketplace Rule 4310(c)(3). This rule requires that the company have a minimum of $2,500,000 in stockholders' equity or $35,000,000 in market value of listed securities or $500,000 of net income from continuing operations for the most recently completed fiscal year or two of the three most recently completed fiscal years. Accordingly, the Nasdaq staff is reviewing Avistar's eligibility for continued listing on The Nasdaq Capital Market. The temporary suspension of several continued listing requirements that Nasdaq announced on October 16, 2008, and which will continue through January 16, 2009, did not include Rule 4310(c)(3).
Avistar has been granted a 30-day grace period, or until December 22, 2008, to regain compliance with the $35,000,000 provision of the Rule by recording a minimum closing bid price of $1.02 for a minimum of ten consecutive business days. In the event that Avistar can not demonstrate compliance during the grace period, it is expected that Avistar would receive a notice from the Nasdaq staff of its determination that Avistar's securities are subject to delisting, which determination could be appealed by Avistar to the Nasdaq Listing Qualifications Panel. In the event of such an appeal, the Panel would have authority to grant Avistar a further extension of time in which to regain compliance with the Marketplace Rules, though there can be no assurance that the Panel will grant a further extension of time.
"This notice, in our opinion, is an unfortunate development and does not reconcile with the significant progress that Avistar continues to make in the high growth unified communications market. During the past two quarters we have generated greater than 50 percent sequential revenue growth and improvement in net loss. We have also realigned our cost base to position the company for positive cash flow, and expanded distribution with commitments for more than 100,000 seat sales over the next several years," stated Simon Moss, CEO, Avistar. "Additionally, we have completed a contract with IBM, through which we will be incorporating our dynamic network management technology into an upcoming release of IBM's unified collaboration product offerings. The IBM contract includes up-front payments of $6 million, $3 million of which has been received in November, and an on-going royalty on IBM's product sales that incorporate our technology after an initial threshold of sales has been reached. This agreement with IBM promises to generate more proceeds over its term than the dollars represented in Avistar's current market cap. We have also recently announced the addition of 10 new patents to our extensive intellectual property portfolio, relating to the areas of Voice over IP (VoIP) and instant messaging. As a result of these successes, we have now reached the point where Avistar's performance is becoming predictable enough that we believe we will be able to provide performance guidance going into and throughout 2009."
Moss continued, "This notice from Nasdaq is particularly disappointing in light of AVSR's stock performance during 2008. From January 1, the date that this management team took the helm and focused on the difficult task of turning Avistar into a successful company, to the date that we received the notification from Nasdaq, Avistar's stock price had increased by 97 percent. The Nasdaq composite index dropped by 44 percent over that same time period."
Moss concluded, "We are at the point now that, after a huge effort from this management team, we can expect to see continued growth, increased technical competitiveness and associated market success. It is, and will remain, the focus of the team at Avistar to achieve our operational, market and financial goals and thereby build long-term shareholder value.
