Operator of department stores The Bon-Ton Stores Inc (NASDAQ:BONT) closed a second lien term loan credit facility of USD75m that matures on 18 November 2013 and received commitments from lenders to replace its existing credit facility that matures in March 2011, the company revealed on Wednesday.
Bon-Ton revealed that the commitments for USD675m, 3.5-year senior secured asset-based credit facility (the New Credit Facility) was over subscribed and are subject to standard and customary closing requirements. This replaces its existing USD800m asset-based revolving credit facility (the Existing Credit Facility).
The Bank of America NA will serve as administrative agent; Bank of America Merrill Lynch; GE Capital Markets Inc; and Wells Fargo Securities LLC are acting as joint lead arrangers and joint book runners on the New Credit Facility that will close in early December of this year.
The agents for the USD75m loan credit facility are Sankaty Advisors LLC; GB Merchant Partners LLC; and GA Capital LLC, while acting as lead arranger is the Bank of America Merrill Lynch.
Proceeds will be used to increase liquidity after paying off related fees and expenses and a part of the outstanding debts under the Existing Credit Facility.
The Second Lien Term Loan Credit Facility's only financial covenant is a minimum borrowing availability of USD75m under the Existing Credit Facility that was amended to allow the Second Lien Term Loan Credit Facility with the Existing Credit Facility (and the New Credit Facility when it becomes effective).

The Bon-Ton Stores closes USD75m second lien term loan credit facility - Zibb.com

The Bon-Ton Stores Inc (Nasdaq:BONT) announced on Wednesday that it has received commitments in excess of the commitment amount sought from lenders for a USD675m 3.5-year senior secured asset-based credit facility.
This new credit facility will replace the company's existing USD800m asset-based revolving credit facility that is scheduled to mature in March 2011.
The company said that the credit commitments are subject to standard and customary closing requirements.
Bank of America N.A will serve as administrative agent on the new credit facility.
Bank of America Merrill Lynch; GE Capital Markets Inc; and Wells Fargo Securities LLC are acting as Joint Lead Arrangers and Joint Book Runners.
Bon-Ton expects to close on the new credit facility in early December of this year.
In addition, the company also announced that it has closed on a USD75m
second lien term loan credit facility, which will mature on 18 November 2013.
The agents for this facility are Sankaty Advisors LLC; GB Merchant Partners LLC; and GA Capital LLC.
Bank of America Merrill Lynch acted as lead arranger for the facility.
Proceeds from this transaction will reportedly be used by the company to increase liquidity by paying down a portion of the outstanding borrowings under the existing credit facility and related fees and expenses.
The only financial covenant in the second lien term loan credit facility is a minimum borrowing availability of USD75m under the existing credit facility and the new credit facility when it becomes effective).
The existing credit facility was amended to permit the second lien term loan credit facility.
The Bon-Ton Stores is an operator of stores and furniture galleries in the US.
