Nippon Steel Corp. and three other Japanese companies have agreed to acquire a combined 55% stake in PT Latinusa, a producer of tinplates, from PT Krakatau Steel, an integrated steel mill, for about $60 million. Both Latinusa and Krakatau Steel are based in Indonesia.
The Japanese consortium includes Nippon Steel, Mitsui & Co., Ltd., Nippon Steel Trading Co., Ltd., and Metal One Corporation. Metal One is a steel trading joint venture of Mitsubishi Corp. and Sojitz Corp.
After the completion of the transaction, Nippon Steel, a producer of steel, will become Latinusa's largest shareholder with a 35% stake. Mitsui will hold a 10%, with Nippon Steel Trading and Metal One each having a 5% stake in Latinusa.
Morgan Stanley is advising Nippon Steel on the transaction.

Nippon Steel Corp. (TSE:5401) said Wednesday that its consortium with three Japanese trading houses will acquire Indonesian tinplate manufacturer PT Latinusa for about US$60 million, or about 5.4 billion yen, in mid-December.
Nippon Steel will make the Indonesian firm a consolidated subsidiary by obtaining a 35 per cent stake and taking control of management. Mitsui & Co. (TSE:8031) will own 10 per cent, with Metal One Corp. and Nippon Steel Trading Co. (TSE:9810) each taking a 5 per cent interest.
Currently 93.9 per cent owned by state-run PT Krakatau Steel, Latinusa is the only tinplate maker in Indonesia.
Tinplate is used in beverage and food containers. Nippon Steel has determined that demand for the product will grow in Indonesia as the population increases and the economy grows.
The country needs about 160,000 tons of tinplate annually, but Latinusa is capable of supplying only 120,000 tons a year. After the acquisition, its capacity will be boosted to 160,000 tons.
