   ROLLS-ROYCE ANNOUNCES INTENTION TO ACQUIRE SCANDINAVIAN ELECTRIC HOLDING

Rolls-Royce has announced its intention to acquire Scandinavian Electric
Holding (SEH), a supplier of system packages for diesel-electric marine
propulsion systems, continuing its growth strategy in the marine market. The
acquisition, from Borea Opportunity II AS, requires approval from the Norwegian
competition authorities, which is expected to be completed within a few weeks.

Rolls-Royce will purchase 100 per cent of the equity of SEH for cash
consideration of NOK 430 million (GBP43 million). The company will form part of
the Rolls-Royce marine business.

The acquisition is consistent with the company's strategy of adding new
capabilities and expanding into integrated power systems.

SEH currently employs 150 people, in Bergen, Norway, and Gdansk, Poland, and
recorded sales of GBP40 million in 2007 and has a current order book of GBP100
million. SEH has a strong track record in offshore supply and service vessels,
and will extend system design capability for Rolls-Royce UT Design offshore
support and service vessels.

The latest quarterly news roundup from Rolls-Royce plc demonstrates the breadth
of the Group's portfolio and its increasing access to global markets. The
company's most significant announcements in the quarter, 1 April - 30 June 2008
were as follows:

Civil Aerospace

  * Trent 900s for THAI. THAI Airways International selected the Trent 900 for
    its new fleet of six Airbus A380s. The Trent 900 has a 58 per cent share of
    firm and option orders on the A380, and has been chosen by ten of the 13
    operators that have announced an engine selection.

  * Trent 700s for Sichuan. Sichuan Airlines chose Trent 700 engines to power
    its fleet of three leased Airbus A330-200 twinjets from AerCap. The order
    includes a long term TotalCare(R) services agreement. Sichuan Airlines is the
    53rd customer or operator to select the Trent 700, which has a 53 per cent
    market share for the A330.

  * Business jet forecast. Rolls-Royce updated its forecast for the business
    jet sector, anticipating continued growth in jet deliveries through the
    remainder of the decade, with an engine market worth $110 billion over the
    next 20 years. Demand is being augmented by an increase in non-US markets
    coupled with new models.

  * First run of BR725. The 16,100lb thrust BR725, which will power the
    Gulfstream G650 corporate jet, completed its first run at the company's
    facility in Dahlewitz, Germany. The engine is the sixth new powerplant to
    be added to the company's civil aerospace portfolio in six years.

Marine

  * Russian rigs. Mooring equipment worth around GBP10 million will be supplied
    to two ice-class drilling rigs to operate in the Shtokman field, one of the
    world's largest natural gas fields in the Russian sector of the Barents
    Sea. The contract marks a breakthrough for Rolls-Royce in the expanding
    Arctic exploration and production market.

  * Polar research. Rolls-Royce has won a contract to design a research vessel
    which will operate in both Arctic and Antarctic waters. The ship, ordered
    by the Norwegian Institute of Marine Research, will carry out
    meteorological and sea floor studies and will also monitor fish stocks.

  * Seismic research vessel. Rolls-Royce has won its first design and equipment
    contract, worth GBP13 million, for the Chinese seismic research vessel
    market. The vessel, one of the world's most advanced, was ordered by BGP
    Marine China, a subsidiary of China National Petroleum Company (CNPC).

  * Patrol craft waterjets. Six new fast patrol craft that will help the
    Trinidad and Tobago coastguard protect its islands will use Rolls-Royce
    waterjets to help reach speeds of up to 40 knots. The vessels, to be built
    by Austal in Australia, will carry out surveillance, safety at sea and
    search and rescue duties, as well as target illegal drug trafficking.

  * MT30 milestone. The MT30 gas turbine, part of the Trent family of engines,
    went into operation on board a ship for the first time. Two MT30s were `lit
    off' on board the U.S. Navy's first Littoral Combat Ship, Freedom, which
    has been built by Lockheed Martin.

  * Safer deck contracts. Four contracts, worth a total of about GBP50 million,
    were signed for delivery of safer deck operations equipment for four anchor
    handling vessels. Two of the contracts are with Karmsund for Ezra,
    Singapore, and two with Aker Yards for K-Line Japan.

Energy

  * Trent 60 orders from eight countries. Orders for three additional Trent 60
    electrical generating sets were received from existing customers in Belgium
    and Australia, while energy companies in another six countries confirmed
    reservations for 27 Trent 60 engines. The potential value of these orders
    and reservations, when they become firm contracts, exceeds $500 million at
    today's list prices.

  * RB211 Thai orders. Orders for three additional RB211 units, two for gas
    compression and one for power generation, were received for PTT Public
    Company Limited's gas separation plant project in northeast Thailand.

  * More RB211s for Petrobras. Brazilian oil and gas company, Petrobras, is due
    to receive three Rolls-Royce RB211-G62 electrical generating sets for its
    new Caraguatatuba gas receiving and treatment station in the fourth quarter
    of this year.

  * Additional RB211 for China pipeline. An additional gas compression package,
    scheduled to be operational by the end of 2009, increases the number of
    RB211 gas turbine compressor units on the China West-East Gas Pipeline
    Project to 16.

Operations and technology

  * Composite research. A joint venture with GKN Aerospace will carry out
    research and development into the use of composite materials in aero engine
    fan blades. Rolls-Royce will fund and own 51 per cent of the venture.

Corporate Responsibility

  * Science Prize. The third annual Rolls-Royce Science Prize has been awarded
    to St Anne's Primary School, based in Corkey, Northern Ireland, for its
    extensive project on water management. St Michael's Roman Catholic School
    in Billingham was the runner up. Both schools were commended for working
    with industry to engage young scientists and show them how science can make
    a practical difference. The Rolls-Royce Science Prize rewards excellence in
    science teaching across the UK and Ireland, and has so far awarded GBP440,000
    to 196 schools.

Rolls-Royce Completes Successful First Run of BR725 Engine - Zibb.com

Rolls-Royce, the world's leading engine supplier for business jets, has successfully completed the first run of its BR725 engine at its facility in Dahlewitz, Germany. The selection of the engine to power the new Gulfstream G650 aircraft was announced last month.

Dr. Rainer Honig, Project Director - BR725 and Future Programs, Corporate & Regional Engines, Rolls-Royce, said: "The engine powered up first time and attained 80 percent of its full thrust rating. It is demonstrating full functionality and is performing in line with targets set in the early stages of the program two years ago. This first landmark has been made possible by the strong relationships with our partners and suppliers."

The 16,100lb thrust BR725 is the most advanced member of the BR700 engine series and the sixth new powerplant added to the company's civil aerospace portfolio within the past six years.

The engine which performed the first run is one of five to be used in ground testing, while a further eight are earmarked for flight testing.

Compared with its highly successful predecessor, the BR710, the BR725 is more powerful and more than 4 dB cumulative quieter. It has 4 percent better specific fuel consumption and shows 21 percent improvement in NOx emissions. Design features include a 50-inch diameter fan assembly made up of 24 "swept" titanium blades for improved aerodynamic efficiency and lower noise. The new, all-composite nacelle has a new inlet cowl to house the larger fan, but the diameter remains the same size as on the BR710.

Initial flight test engines will be delivered to Gulfstream towards the end of 2008. The BR725 is scheduled to power the first flight of a Gulfstream G650 in the second half of 2009 and will enter service on this aircraft in early 2012.

CORRECTION STOCKWATCH Rolls-Royce, BAE, Smiths Group higher on US peer results - Zibb.com

Shares in Rolls-Royce Plc, BAE Systems Plc and Smiths Group Plc were all higher in mid-afternoon trade on April 24, with the UK defence blue chips fighting against the dull market trend as Numis Securities highlighted the read-across from earnings news from the sector's U.S. peers.

At 3:01 p.m. that day, Rolls-Royce was up 3 pence at 432-1/2, BAE Systems ahead 4-3/4 pence at 477, and Smiths Group up 11-1/2 pence at 960-1/2, while the FTSE 100 index was down 91.2 points at 5,992.4.

Numis pointed out Goodrich Corp., Northrop Grumman Corp. and Raytheon Co. have all reported first-quarter results across the Atlantic, following on from Boeing and General Dynamics.

To date, the broker noted, the first-quarter earnings news in the sector has been generally positive, leading to several guidance upgrades.

Numis said Raytheon's first-quarter topped consensus estimates by 10 percent, with earnings up 21 percent, and the group reaffirmed guidance for 10 to 14 percent full-year EPS growth.

The broker noted Raytheon also reported a record order backlog, with intake up 26 percent year-on-year.

Numis said Raytheon's strongest segment in the first quarter was its Missile Systems business, which is an encouraging signal for BAE Systems.

The broker also highlighted Goodrich's first-quarter results, which saw the aircraft tyre manufacturer raise its 2008 full-year guidance by 3.5 percent and noted the U.S. firm said it continues to believe that the aerospace industry "offers some of the best growth prospects for any industry, even in the face of the current US economic conditions".

Numis noted Rolls-Royce shares are starting to recover now all of the bad news from the U.S. airline first-quarter results has been revealed.

The broker repeated its 'buy' rating for Rolls-Royce shares with a 500 pence price target, and also reiterated its 'buy' stance for BAE Systems shares, with a price target of 580 pence. tf.TFN-Europe_newsdesk@thomson.com jmh/ms1
