McAfee acquires Solidcore Systems

McAfee, Inc., a supplier of computer security solutions, has acquired Solidcore Systems, Inc., a provider of information technology control solutions. Both the companies are based in the US.
Announcement (May 15, 2009):
McAfee has entered into a definitive agreement to acquire Solidcore for a cash consideration of $33 million and an additional performance based earn-out of approximately $14 million.
Earlier, Solidcore raised venture funding from Jafco Ventures, Matrix Partners, Menlo Ventures, and Sevin Rosen Funds.
Upon completion of the transaction, Solidcore will be integrated into the McAfee Risk and Compliance business unit. The transaction is expected to close in the second quarter of 2009.
Jefferies & Company, Inc. is acting as financial advisor to Solidcore.

Deal Rationale
The acquisition would enable McAfee to add Solidcore's dynamic whitelisting and compliance enforcement technology with McAfee compliance mapping and policy auditing to provide an end-to-end compliance solution through the McAfee ePolicy Orchestrator console. Solidcore's compliance and protection solutions would extend the current McAfee security portfolio beyond anti-malware with the addition of dynamic whitelisting and application trust technology. The transaction would enable McAfee to expand its reach into new markets, secure new platforms, and strengthen its position in the endpoint security market.
