SuccessFactors to acquire Infohrm

SuccessFactors, Inc., a US-based provider of performance and talent management solutions, has entered into a definitive agreement to acquire Infohrm Pty., Ltd., a provider of business analytics and workforce planning software, for a total consideration of $40.5 million. Both the companies are based in the US.

Under the terms of the agreement, SuccessFactors will pay $25.5 million in cash and approximately $15 million in SuccessFactors common stock, with additional contingent consideration payable based on the fulfillment of continuing employment and the achievement of specified growth targets. The acquisition is expected to close in the third quarter of 2010.

Fenwick & West LLP is acting as legal advisor to SuccessFactors.
