Atypon Systems, Inc., a leading provider of e-publishing solutions, announced today the acquisition of the eMeta operation, a provider of access control, subscription management and commerce software, from Macrovision Solutions Corporation.
The acquisition of this operation from Macrovision supplements Atypon's existing technologies and services and creates a broader proposition focused exclusively on the licensing and online delivery of publisher content. It creates a single entity dedicated to providing innovative content production, marketing, ecommerce and e-rights management tools to the publishing industry. Through the acquisition of the eMeta operation, Atypon has expanded its highly experienced technical team and added a publishing services consulting team to the company's existing proposition.

Macrovision Solutions, a provider of solutions to businesses to protect, enhance and distribute digital goods to consumers across multiple channels, announced that cable system operators in Central America, the United States Virgin Islands (USVI) and Jamaica will deploy Macrovision's Passport Interactive Program Guide (IPG) products to their cable customers.
Continental Programming Services Limited, a subsidiary of Millicom; Innovative Cable TV St. Thomas - St. John and Innovative Cable TV St. Croix; and Logic One have all signed multi-year agreements with Macrovision for its Passport IPG solutions. With this new technology, the cable operators can now provide customizable, feature-rich program guides that enhance the TV viewing experience for their audiences, the company said.
Today, consumers have a host of options available such as digital video recording (DVR) capabilities and on demand features that make the television viewing experience truly interactive. Macrovision said its Passport product line includes Passport Echo DVR and ShowRunner video on demand (VOD) applications that are designed to help cable operators drive increased subscribership through value-added services. These services enable viewers to control live television with pause, rewind and fast-forward functionality; utilize one-touch recording features; fine tune their recording options; and scan VOD menus via an intuitive interface, according to the company.

Macrovision Solutions Provides 2009 Estimates - Zibb.com

Macrovision Solutions announced at its Investor Day that it expects to generate Revenue of between $460 and $500 million and Adjusted Pro Forma earnings per share (EPS) of $1.25 to $1.55 in 2009.
In addition to the assumptions provided below regarding Adjusted Pro Forma information, Macrovision Solutions encourages investors to review a copy of the investor presentation from Investor Day, which can be found on Macrovision Solutions' investor relations website.
In a release, the company stated:
- Adjusted Pro Forma estimates exclude the results of the TV Guide Magazine, TV Guide Network, TVG Network and eMeta businesses, all of which are classified as discontinued operations. These discontinued operations are assumed to have been sold prior to 2009 for aggregate proceeds of $350 million. The company estimates aggregate proceeds from the disposition of these businesses to exceed $350. The $350 million in assumed proceeds from the sale of the businesses classified as discontinued operations is assumed to reduce the debt issued in conjunction with the acquisition of Gemstar. Adjusted Pro Forma EPS is calculated using Adjusted Pro Forma Income from Continuing Operations. Adjusted Pro Forma Income from Continuing Operations is defined as operating income from continuing operations adding back non-cash items other then depreciation and items which impact comparability that are required to be recorded under GAAP, but that the company believes are not indicative of its core operating results. Excluded non-cash items include equity-based compensation, amortization and non-cash interest expense such as the amortization of debt issuance costs and non-cash tax expenses and benefits related to the creation and release of discrete tax reserves. Excluded items which impact comparability, but that the company believes are not indicative of its core operating results, include such costs as transaction, transition and integration costs, restructuring and asset impairment charges. Macrovision Solutions has assumed no increase or decrease in shares outstanding in calculating Adjusted Pro Forma EPS.

Macrovision Solutions announced, on a GAAP basis, third quarter 2008 results.
In a release, the company stated:
-Revenues of $112.2 million, compared to $45.6 million for the third quarter of 2007. Third quarter 2008 GAAP net income was $8.8 million compared to net income of $14.1 million for the third quarter of 2007. GAAP diluted earnings per share for the quarter was $0.09, compared to $0.26 for the third quarter of 2007.
- As management believes including Gemstar's operating results only for the period since its acquisition on May 2, diminishes the comparative value of results from the prior year, management believes it is useful to measure the results on a non-GAAP Adjusted Pro Forma basis, assuming the Gemstar acquisition was consummated January 1, 2007. The Adjusted Pro Forma results also exclude Macrovision's Software and Games businesses that were sold April 1, discontinued Hawkeye product line, as well as the results of the TV Guide Magazine, TV Guide Network, TVG Network and eMeta businesses, all of which are classified as discontinued operations. On this basis, third quarter 2008 Adjusted Pro Forma Revenues were $112.2 million, compared to $108.8 million for the third quarter of 2007. Third quarter 2008 Adjusted Pro Forma EBITDA was $43.0 million, compared to $36.2 million for the third quarter of 2007. Adjusted Pro Forma EBITDA is defined as pro forma operating income from continuing operations, adding back non-cash items such as equity-based compensation, depreciation and amortization and items which impact comparability such as transaction, transition and integration costs, restructuring and asset impairment charges, insurance settlements and accrual reversals related to a former Gemstar CEO. Cash and investment balances from continuing operations increased from $332.3 million at the end of June 30, to $368.9 million at the end of September 30.
- The Adjusted Pro Forma combined company year-to-date results reflect five months of synergies. By January 1, 2009, the company expects to have realized annualized cost savings in excess of $50 million by rationalizing head count, eliminating corporate marketing initiatives that do not fit within the company's plans going forward, eliminating duplicate public company and IT expenses, consolidating facilities and capturing other cost efficiencies. As of September 30, the company had taken expense reduction actions that will lead to approximately $44 million in savings on an annualized basis. Additionally, actions already taken after September 30, will result in the remaining $6 million of annualized cost savings.
