Kendall Law Group Investigates 3Com Corporation on Behalf of Shareholders - Zibb.com

Kendall Law Group, founded by a former federal judge, is investigating the proposed acquisition of 3Com Corporation (NASDAQ: COMS) by Hewlett-Packard Company. According to the agreement, shareholders will receive $7.90 per 3Com share owned. The transaction is expected to close in the first half of calendar 2010 and is subject to customary closing conditions, including the receipt of domestic and foreign regulatory approvals and the approval of 3Com stockholders.

On November 11, 2009, HP and 3Com announced that the $2.7 billion transaction has been approved by the board of directors of both companies. The firm's investigation concerns whether the consideration to be paid to shareholders is grossly unfair, inadequate, and substantially below the fair or inherent value of the company. Also, the investigation will focus on whether the Board of Directors may have breached their fiduciary duties in disregarding the shareholders' best interests by not adequately shopping the 3Com before entering into the transaction.

If you are a current holder of COMS and would like additional information concerning this proposed transaction, including your rights, contact Hamilton Lindley at 877-744-3728 or by email at hlindley@kendalllawgroup.com. Kendall Law Group has substantial experience representing investors in mergers and acquisitions nationwide. Lawyers at the firm include a former United States Attorney, federal judicial law clerk, a former state and federal judge, in addition to experienced securities lawyers.

Here are highlights from Thursday's Analyst Blog:

Hewlett-Packard to Acquire 3Com

Hewlett Packard Company (NYSE: HPQ) is planning to take over networking gear maker 3Com Corporation (Nasdaq: COMS). The acquisition, valued at $2.7 billion, enables HP to challenge networking leader Cisco Systems Inc. (Nasdaq: CSCO) on its own turf.

HP's current networking products, sold under the ProCurve brand, generate around $1 billion in annual sales (less than 1% of the company's total revenue). The product line lacks competitive data center switches, which makes it hard to take market share from well-entrenched Cisco.

3Com's expertise is in networking products for data centers, which supports HP's ProCurve networking equipment. Although the company has seen better times, it has been beefing up its portfolio by utilizing its design capabilities in low-cost China. The company is, therefore, in a position to compete aggressively on price. 3Com's challenges include its poor brand value in American and European markets and its weak position in these geographies.

The HP-3Com combination is therefore an ideal fit, in our opinion. If the deal closes, HP will acquire a new capability overnight, strengthen its position in China and grow at its competitor's expense. 3Com will benefit from HP's superior brand value and find a broader market for its new products.

Wal-Mart Sales Up in U.S., Europe

Wal-Mart Stores Inc. (NYSE: WMT) reported strong fiscal third-quarter earnings of 84 cents per share, which surpassed the Zacks Consensus Estimate of 81 cents. Earnings grew 9.1% year over year from 77 cents recorded in the year-ago quarter, and exceeded management's guidance of 78 cents to 82 cents per share.

Wal-Mart's net sales recorded a growth of 1.1% year over year to $98.7 billion, as a 1.2% expansion in Wal-Mart's U.S. segment coupled with a 1.6% increase in the International segment was partially offset by 0.7% decline in the Sam's Club segment. The growth in International sales was driven by robust performance in the U.K., Mexico and Brazil, but was limited by unfavorable currency fluctuations.

The retailing behemoth, widely considered as a barometer of the country's economy, said U.S. same-store sales dipped 0.5% year-over-year, while that for Sam's Club rose by 0.1%.

Glaxo Reports Higher Revenues

GlaxoSmithKline, plc (NYSE: GSK) reported third quarter income of 92 cents per American Depository Share (ADS), 3 cents below the Zacks Consensus Estimate. The company reported earnings of 94 cents in the year-ago period.

Third quarter 2009 revenue increased 3%, with growth being driven by strong performances in emerging markets (up 25%), Japan (up 19%) and Consumer Healthcare (up 8%). We were pleased to see growth in Consumer Healthcare revenue despite the global slowdown.

Meanwhile, US sales continued to be impacted by generic competition with revenue declining 12%. Sales of products like Imigran (down 74%), Lamictal (down 21%) and Requip (down 30%) and Wellbutrin XL (down 81%) kept declining.

Pharmaceutical product revenue increased 2% with sales being driven by Advair/Seretide (up 5%) and Relenza. Relenza benefited from continued orders from several governments for stockpiling.

NI Technology Updates Outlooks for 3Com, Benchmark Electronics, Blue Coat Systems, Celestica and

Next Inning Technology Research (http://www.nextinning.com), an online investment newsletter focused on semiconductor and technology stocks, announced it has published a special report on the emerging cloud computing trend covering companies including 3Com (Nasdaq: COMS), Benchmark Electronics (NYSE: BHE), Blue Coat Systems (Nasdaq: BCSI), Celestica (NYSE: CLS) and Flextronics (Nasdaq: FLEX).

McWilliams has displayed uncanny accuracy in predicting the ebb and flow of the markets during the last 12 months. He not only called the relief rally that started in November 2008 and nailed the March bottom to the day, but also predicted the catalysts that would start what has been one of the most significant recovery rallies in NASDAQ history.

In an effort to prepare his readers for the remainder of 2009 and help them position their portfolios for the coming year, Next Inning has published McWilliams' Strategy Review and outlook for the next year. In this extensive report, McWilliams provides an in-depth forecast for a variety of tech sectors, points out what he sees as three danger periods looming in our future, and provides specific investment opinions and price targets on 37 leading tech stocks.

Long-term Next Inning readers know this is an important report. In his special report published in late 2008, he helped position readers early with big winners like Apple, Blue Coat Systems, Flextronics, 3Com and Sun Microsystems, noting clearly the latter two were acquisition candidates. Prices for these stocks have since advanced between 130% and 255%.

To get the inside scoop on how McWilliams regularly tops broad market performance, investors have the opportunity to take a free 21-day test drive with Next Inning. With this, investors will see firsthand how McWilliams has delivered a year-to-date return of 55% and will receive real-time access to his commentary. To take advantage of this offer, please visit the following link:

https://www.nextinning.com/subscribe/index.php?refer=prn912

McWilliams covers these topics and more in his recent reports:

-- McWilliams suggested buying 3Com when it was trading for only $2.12 last December. With Hewlett-Packard's offer to buy the company for nearly $8 on the table now, what does he think 3Com shareholders should do?

-- What trends does McWilliams think will impact the EMS (Electronic Manufacturing Services) sector during the coming year? What EMS companies does McWilliams think merit consideration today from investors? What are his fair value price targets for EMS leaders Benchmark, Celestica and Flextronics?

-- What are McWilliams' thoughts about the demand atmosphere for data center and WAN optimization products and what stocks does he think will be the big winners next year? With the price of Blue Coat Systems up over 240% since he suggested buying it last year, does he think there is more to come or that it has overshot its fair value? Does he see Blue Coat as a potential acquisition target?

Founded in September 2002, Next Inning's model portfolio has returned 206% since its inception versus 22% for the S&P 500.
