Contessa Premium Foods Obtains Multi-Million Dollar Jury Verdict Against Thai Union International,

A California Superior Court jury has found defendants Thai Union International, Inc., Empress International, Inc. and Chicken of the Sea Frozen Foods (collectively "Thai Union"), as well as Bryan Rosenberg and Brenden Beck (former employees of Contessa Premium Foods, Inc.) liable in connection with a scheme to steal trade secrets and compete unfairly with Contessa in the sale of frozen food products in the United States.

The case of Contessa Premium Foods, Inc. v. Bryan Rosenberg et al. (BC 347105) dates back to 2005 when, without Contessa's knowledge, Thai Union began interviewing several key Contessa sales executives. The jury found that Thai Union ultimately conspired with two of the highest-ranking sales executives, defendants Bryan Rosenberg and Brenden Beck, to misappropriate Contessa's valuable trade secrets, defraud Contessa and take Contessa's existing as well as anticipated customers. The jury also found that Rosenberg and Beck breached their fiduciary duty while employed by Contessa and did so with malice, oppression or fraud. The jury was unanimous in its determination that Rosenberg and Thai Union engaged in fraud by concealment resulting in significant damages to Contessa. Contessa was represented in this case by the Los Angeles office of O'Melveny & Myers LLP.

On September 25, 2008, Contessa was awarded compensatory damages of approximately $2.8 million. The following day, September 26, the jury came back with punitive damages against Thai Union for another $1.5 million and against Rosenberg for another $200,000, making the total damages awarded to Contessa $4.5 million. In addition, Contessa is legally entitled to recover its attorney's fees and costs as well as interest on the damages in this case. Highlights of today's newspapers:

BUSINESS TIMES:

- Several small companies in Singapore have sounded warning bells over their upcoming financial results as the impacts of rising raw material costs, the falling US dollar and the slowing American economy hit home.

- Artivision Technologies Ltd, a company specialising in video content analytics (VCA), has put out an initial public offering of 75 million new shares at 20 cents each.

- With an eye on the South-east and South Asia markets, US law firm O'Melveny & Myers LLP announced last week that it has opened an office in Singapore.

- The protagonists involved in the Raffles Town Club (RTC) saga start a new round of court battles today with former stockbroker Peter Lim suing the two current shareholders of the club, Lin Jian Wei and Margaret Tung, for 'defamation by way of innuendo'.

- The economic storm clouds gathering in other parts of the world have not dampened Singaporeans' appetite for buying tech gizmos, with sales of big-ticket gadgets climbing to new heights in the first six months of this year.

- Despite its strong retail muscle, with more than 400 stores in Singapore, 7-Eleven's new prepaid mobile phonecard offering is not expected create big ripples in the local telco scene but could gain in other ways, a senior Gartner analyst says.

STRAITS TIMES:

- Singapore's all-important export growth forecast has been downgraded again. The Ministry of Trade and Industry (MTI) on Monday said that exports will now shrink 2 to 4 per cent, instead of growing 2 to 4 per cent as previously forecast.

- The value of the Singapore dollar suffered its largest fall against the US dollar in two years, diving 1.2 per cent to S$1.40 to the greenback.

ON Semiconductor to Acquire Catalyst Semiconductor, Inc. in an All-Stock Transaction - Zibb.com

ON Semiconductor Corporation (Nasdaq: ONNN) and Catalyst Semiconductor, Inc. (Nasdaq: CATS) today announced the signing of a definitive merger agreement providing for the acquisition of Catalyst Semiconductor by ON Semiconductor in an all-stock transaction in which Catalyst shareholders will receive 0.706 shares of ON Semiconductor common stock for each share of Catalyst common stock they own. This represents an equity value of approximately $115 million and an enterprise value of approximately $85 million.

"The acquisition of Catalyst Semiconductor will add to our high gross margin analog and mixed-signal product offerings for the digital consumer and wireless end-markets," said Keith Jackson, ON Semiconductor president and CEO. "Catalyst Semiconductor's analog and mixed-signal business represented more than $11 million in sales as of their April 2008 fiscal year end - a business that grew more than 90 percent versus the prior year. Catalyst Semiconductor's EEPROM technology will strengthen our custom application-specific circuits (ASIC) and power products capabilities expanding our ability to more comprehensively address our customers' needs. With the combination of ON Semiconductor's global footprint, effective channels of distribution, and top-tier customer relationships, we expect to be able to support a broader and deeper penetration of Catalyst's overall product portfolio. This should enable us to accelerate their revenue growth and increase market share. Transaction Details

Under the terms of the agreement, which has been approved by both boards of directors, the fixed exchange ratio will be 0.706 shares of ON Semiconductor common stock for each share of Catalyst Semiconductor common stock. Based on the closing stock price of ON Semiconductor on July 16, 2008, this represents a value to Catalyst Semiconductor shareholders of approximately $6.24 per share. Upon completion of the transaction, ON Semiconductor will issue approximately 13 million shares of common stock on a fully diluted basis to complete the transaction or approximately 3 percent of ON Semiconductor's fully diluted shares outstanding.

The transaction is subject to the approval of shareholders of Catalyst Semiconductor as well as customary closing conditions and regulatory approvals. The companies expect the transaction to close in the fourth quarter of 2008. Upon closing, ON Semiconductor may record a one-time charge for purchased in-process research and development expenses and other deal related costs. The amount of that charge, if any, has not yet been determined.

"This acquisition is directly aligned with both our strategic and financial goals," said Donald Colvin, ON Semiconductor executive vice president and CFO. "Net of cash and short term investments of approximately $30 million at the end of April 2008, the transaction value represents approximately 1.1 times trailing twelve month sales. We also believe ON Semiconductor's operational strengths will significantly benefit the revenue and margin potential of Catalyst Semiconductor. Excluding the impact of amortization expense, write-up of inventory to fair market value, one-time and other deal related charges discussed above, we expect the acquisition will have minimal impact to earnings per share in the first year post the transaction close and should be accretive to our earnings per share thereafter. ON Semiconductor's business and the integration of AMIS Holdings, Inc. has proceeded as anticipated and we are comfortable with the guidance and current level of revenue and earnings expectations provided on our May 5, 2008 conference call. We intend to provide further details on the acquisition and our second quarter 2008 results on our regularly scheduled quarterly earnings conference call on Aug. 6, 2008."

Shares of the combined company will trade on the NASDAQ Global Exchange under the symbol "ONNN."
