BNP Paribas, Deutsche Bank file complaints against Bank of America - Zibb.com

26 November 2009 - French BNP Paribas SA (EPA: BNP) and German Deutsche Bank AG (FRA: DBK) filed yesterday separate complaints against US Bank of America Corp (NYSE: BAC) as the latter failed as a guarantor in a securitisation transaction causing important losses, French business daily Les Echos reported.

The banks filed the complaints with the US Federal court of Manhattan.

BNP Paribas and Deutsche Bank bought securities for USD1.6bn (EUR1.1bn) backed by mortgage loans from the US specialty purpose vehicle Ocala Funding LLC. In order to lower the risk, the banks required Ocala to submit a guarantee from Bank of America.

BNP Paribas to advise Kharafi on Zain stake sale - Zibb.com

25 November 2009 - Kuwait's Kharafi Group has selected French bank BNP Paribas (EPA:BNP) to advise its sale of a 46% stake in telecoms operator Zain, Reuters said today, citing Kharafi vice chairman Bader al-Kharafi.

At the same time, the prospective buyer, a consortium, led by India's Vavasi Group, would act on the advice on Japanese bank Nomura (TYO:8604). The Nomura pick was announced by Kharafi which said it had received a letter from the Japanese bank confirming the appointment.

Investors have doubted the sale will be completed since plans were first announced in September dragging Zain's stock 30% lower. However, the naming of the financial advisors showing talks are ongoing, drove the telecomm's shares 4.2% higher on Tuesday at KWD1.0 (USD3.509/EUR2.340).

The buyer will pay KWD2 per share or some USD13.7bn in total for the 46% shareholding, in one of the biggest overseas acquisitions of a Gulf region company, Kharafi has said.

BNP Paribas Sheds Holdings in ABN AMRO TEDA Fund Management - Zibb.com

BNP Paribas, one of the Big Four banks in Europe, has decided to exit one of its three fund management joint ventures in China as part of its efforts to comply with the local regulatory requirement.

Fortis Bank, a unit of BNP Paribas, inked an agreement on November 23 to sell a 49% stake in Beijing-based joint venture ABN AMRO TEDA Fund Management Co., Ltd. to Manulife Asset Management (Hong Kong) Limited for EUR 105 million or HKD 1.2 billion, announced Manulife Financial Corporation (NYSE: MFC and SEHK: 0945), parent of Manulife Asset Management, on November 24.

The deal, subject to approval from the regulators, is expected to come to an end in the first quarter of 2010, according to Manulife. ABN AMRO TEDA Fund Management, to be renamed as Manulife TEDA Fund Management Company Ltd., plans to seek regulatory approval for new operations in the country after the transaction.

BNP Paribas will have a 49% stake in Fortis Haitong Investment Management Co., Ltd. and a 33% ownership in SYWG BNP PARIBAS Asset Management Co., Ltd. after the disposal, disclosed people familiar with the matter, noting that the decision to sell ABN AMRO TEDA Fund is made after the Paris-based company confronted with mounting pressure resulting from an acquisition of Fortis Bank.

The French bank found itself end up with holdings in three joint-venture fund management firms in China after taking over a 75% ownership in Fortis Bank from the Belgian government earlier this May, a move that conflicts with the requirements worked out by the Chinese regulators.

All companies, no matter foreign or domestic, are not allowed to take holdings in more than two fund management firms in the country directly or indirectly, according to the China Securities Regulatory Commission (CSRC), noting that one company is only entitled to take control of one fund management firm.

BNP Paribas, which owns 33% of SYWG BNP PARIBAS Asset Management through its wholly-owned subsidiary BNP Paribas Asset Management, get holdings in Fortis Haitong Investment Management and ABN AMRO TEDA Fund Management, two fund management ventures indirectly taken by Fortis Bank, after the May 2009 acquisition.

The decision to quit ABN AMRO TEDA Fund Management is based on the size of the two Fortis Bank ventures, said an industry insider. As of June 30, 2009, Fortis Haitong Investment Management had had net assets of CNY 45.507 billion, higher than CNY 26.176 billion posted by ABN AMRO TEDA Fund Management.

Deutsche and BNP Paribas Sue Bank of America over Breach of Contract (DB,BAC) - Zibb.com

11/25/2009-Bank of America (NYSE:BAC) is being sued separately by both BNP Paribas and Deutsche Bank (NYSE:DB), who both claim that they lost millions because of the bank's breach of contract.

BNP and Deutsche both filed separate lawsuits today in a Manhatten court saying they purchased an aggregate of $1.6 billion in asset-backed notes issued by a special purpose firm called Ocala Funding LLC. Both firms maintained that they demanded the deal's trustee, Bank of America, to hold $1.6 billion in cash or mortgage loans as collateral.
