City National Bank Teams With Barnes & Noble for the Holidays - Zibb.com

City National Bank is partnering with Barnes & Noble this holiday season for a multi-state book drive that will celebrate the joy of reading and benefit our area schools.

It's part of the world's largest bookseller's annual Holiday Book Drive which runs from November 1 through January 1. To participate in the book drive, holiday shoppers can purchase a book at select Barnes & Noble stores and donate it. City National's Reading is The way up(R) literacy program will match each book donated, up to $50,000, and the books will be distributed to area schools early next year.

"There's no better time than the holidays to celebrate readers at our local schools-- especially this year when so many of our schools are facing tough budget choices," said Carolyn Rodriguez, head of Reading is The way up at City National Bank. "As one of the largest banks in Los Angeles, we at City National understand that a child's education is the best investment you can make."

Nine Barnes & Noble book stores in Nevada, New York and California will participate in the drive. They include:

 -- Barnes & Noble, Los Angeles (189 The Grove Drive)

 -- Barnes & Noble, Reno (5555 S. Virginia St.)

 -- Barnes & Noble, San Francisco (2550 Taylor St.)

 -- Barnes & Noble, San Jose (2200 Eastridge Loop)

 -- Barnes & Noble, New York (160 East 54th Street)

 -- Barnes & Noble, four stores in San Diego area (810 W. Valley
    Parkway, Escondido; 8860 Genesee Ave., San Diego; 12835 El Camino
    Real, San Diego; 10775 Westview Parkway, San Diego)


Some of the schools that will receive donated books include: Harlem Link Charter School in New York; Mt. Rose Elementary School in Reno; St. Brendan Catholic School in Los Angeles; Gardener School in San Jose; Pio Pico Elementary in Los Angeles; Golden Hill Elementary School in San Diego; and Spring Valley Elementary School in San Francisco.

Board of Barnes & Noble adopts stockholder Rights Plan - Zibb.com

Book seller Barnes & Noble Inc (NYSE: BKS) announced on Tuesday that its board of directors has approved the adoption of a stockholder Rights Plan under which stockholders will receive rights to purchase shares of a new series of preferred stock in certain circumstances.

The company said that the board adopted the Rights Plan in response to the recent rapid accumulation of a significant portion of Barnes & Noble's outstanding common stock.

The Rights Plan is intended to protect the company and its stockholders from efforts to obtain control of the company that are inconsistent with the best interests of the company and its stockholders.

The rights will expire in three years and Barnes & Noble intends to submit the Rights Plan for stockholder ratification within 12 months.

Under the terms of the Rights Plan, the rights will expire on 17 November 2012, and will be exercisable if a person or group, without board approval, acquires 20% or more of Barnes & Noble's common stock or announces a tender offer which results in the ownership of 20% or more of Barnes & Noble's common stock.

The rights also will be exercisable if a person or group already owning 20% or more of Barnes & Noble common stock, without board approval, acquires any additional shares, other than pursuant to Barnes & Noble's compensation or benefit plans.

If the rights become exercisable, all rights holders, other than the person triggering the rights, will be entitled to acquire Barnes & Noble's common stock at a 50% discount.
